These Terms are an agreement between you, the business signing up ("Client" or "you"), and Devon Dooley d/b/a NoMiss Dispatch ("NoMiss", "we", "us"). By ordering, paying for, or using the service, you agree to these Terms. If you've signed a separate Client Service Agreement with us, it controls where it conflicts with these Terms.
1. The service. NoMiss sets up and runs an AI-powered virtual receptionist that answers calls you forward to a NoMiss number. Depending on your plan, it answers callers, collects job details, sends missed-call text-backs, books into your calendar, escalates calls you mark as urgent, and sends you call summaries, recordings and transcripts by text or email (the "Service"). The Service is for businesses only, not for personal or household use.
2. AI disclosure. The receptionist is automated. It identifies itself as a virtual assistant and is never instructed to claim it's a human. You agree not to ask us to configure it to say it's human.
3. Your plan.
| Plan | Regular monthly price | Includes |
|---|---|---|
| Basic | $30 | Missed-call text-back, up to 200 texts/mo (no AI voice) |
| Standard | $120 | After-hours AI answering, up to 150 AI call-minutes/mo |
| Premium | $199 | 24/7 missed-call AI answering, booking, escalation, up to 300 AI call-minutes/mo |
Setup is $0. Overage: $0.25 per AI call-minute and $0.05 per text above your plan. We warn you at 80% of your allowance, and we bill overage only after telling you the amount.
4. Launch offer, billing and renewal.
(a) Launch offer: if you sign up between October 22, 2026 and April 22, 2027, your first month is 50% off ($15 Basic / $60 Standard / $99.50 Premium). The discount applies only to your first month. From month 2, the regular monthly price in Section 3 applies unless you cancel. There's no free trial.
(b) Prepayment: each month is billed in advance. Your first payment is due before the Service goes live. Your "billing date" is the day the Service goes live, and it repeats on the same day each month.
(c) Renewal: the Service renews month to month. We'll send an invoice (currently through X Money) at least 3 days before each billing date. If an invoice isn't paid within 5 days of the billing date, we may pause the Service after notifying you by email. We'll resume it when the invoice is paid.
(d) Price changes: we'll give you at least 30 days' email notice before changing your price. The change applies from your next billing date after the notice period.
(e) Taxes: prices don't include applicable taxes, if any.
5. Cancellation and refunds.
(a) You may cancel any time by emailing info@nomissdispatch.com, or by replying "cancel" to any invoice or summary email. Cancellation takes effect at the end of the current paid month. You won't be billed again, and the Service runs until then. We'll confirm your cancellation by email within 2 business days.
(b) To avoid being billed for month 2 at the regular price, cancel before your second billing date.
(c) Refunds: fees are non-refundable, and we don't refund partial months. Exceptions: (i) if we can't get your Service live within 14 days after you pay and you've done your part (forwarding and info), you can cancel for a full refund of that payment; (ii) if the Service is unavailable for more than 72 consecutive hours because of us, we'll credit the affected days pro rata. Credits and refunds are your sole remedy for outages.
(d) We may end the Service with 30 days' email notice, or right away if you breach these Terms or use the Service unlawfully. If we end it without cause, we'll refund any prepaid, unused portion.
6. Your responsibilities. You will: (a) give us accurate business information, prices, hours, service area and emergency rules, and approve the call script in writing (email is fine) before go-live and after any changes; (b) keep your call forwarding working; (c) check summaries and respond to escalations promptly; (d) use the Service only for lawful purposes and comply with laws that apply to your business, including licensing, consumer-protection and telemarketing laws; (e) not use the Service for outbound marketing calls or texts.
7. Call recording and notices. Calls are recorded and transcribed. Every call begins with a notice that the caller is speaking with a virtual assistant and that the call is recorded. You authorize this, and you agree (a) not to ask us to remove or shorten the notice, (b) to tell us if you serve callers in places that need additional notice, and (c) that you're responsible for any recording notices on your own lines and for how you use recordings after we deliver them. If a caller objects to recording, the assistant gives your direct number and ends the call. The part of the call before the objection may already have been recorded. We don't send you a summary of that call, and we delete it on request, as described in Section 13.
8. Text messages. By signing up, you agree to receive service texts (call summaries, alerts, billing notices) at the mobile number(s) you give us. Message frequency varies with your call volume. Msg & data rates may apply. Reply STOP to opt out (we'll then send summaries by email) or HELP for help. If your plan includes missed-call text-back, we send one informational text per missed call to the caller, identifying your business. It never includes marketing, and it honors STOP. You won't ask us to send marketing texts.
9. NOT AN EMERGENCY SERVICE; AI CAN MAKE MISTAKES. THE SERVICE IS NOT A SUBSTITUTE FOR 911, A GAS UTILITY, OR A LIVE DISPATCHER. The assistant gives only short, scripted safety instructions you approve, and it doesn't diagnose problems. AI and phone systems can mishear, mistranscribe, misclassify urgency, fail to answer, drop calls, or fail to deliver summaries or texts, including because of carrier, internet or vendor outages. You are responsible for deciding how and when to respond to every caller.
10. DISCLAIMER OF WARRANTIES. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WE DON'T GUARANTEE THAT EVERY CALL WILL BE ANSWERED, RECORDED, TRANSCRIBED, BOOKED OR DELIVERED, OR THAT THE SERVICE WILL PRODUCE ANY AMOUNT OF BUSINESS.
11. LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST JOBS OR CUSTOMERS, OR LOST DATA; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits don't apply to liability that can't be limited by law, or to your payment obligations or your indemnity duties.
12. Indemnity. You will defend and indemnify NoMiss against third-party claims arising from (a) your services, work, pricing or treatment of callers, (b) the business information and scripts you provide or approve, (c) your use of recordings or caller data, or (d) your breach of these Terms or of the law.
13. Data. We process caller information for you, as your service provider, only to provide the Service and as described in our Privacy Policy (nomissdispatch.com/privacy). You own your caller data. We currently keep call recordings, transcripts, summaries and call logs until you or the caller asks us to delete them, or until we adopt a fixed retention period (we'll update this section and the Privacy Policy, and tell you by email). We don't sell personal information. Deletion: you (or a caller) can ask us to delete recordings, transcripts or other data by emailing info@nomissdispatch.com. We'll confirm receipt within 5 business days and act within 30 days: we delete copies from our email and files, use the deletion tools available to us, and ask our voice platform (Vapi) to delete the call, including its recording, transcript and logs. We'll also ask our other providers to delete it where they offer a way to do that. Some providers keep data for a limited time under their own policies (for example abuse-monitoring logs or backups), and we can't force earlier deletion. We'll tell you what we deleted and anything we couldn't, and why. After you cancel, we'll delete or return your data within 30 days of your request, on the same basis. We use third-party vendors (telephony, AI, transcription, messaging, payments, hosting) that are bound to protect the data. We'll tell you without unreasonable delay if we learn of a security breach affecting your data.
14. Third-party services. The Service depends on third-party providers (for example Vapi, phone carriers and AI model providers). We aren't responsible for their outages or changes, but we'll tell you about material outages we know of.
15. Governing law and disputes. These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Before filing any claim, each party agrees to try to resolve it informally by email for 30 days. Any lawsuit must be brought in the state courts in Smyth County, Virginia, or the U.S. District Court for the Western District of Virginia, and both parties consent to those courts.
16. General. These Terms (plus any signed Client Service Agreement and your approved script) are the entire agreement. We may update these Terms with 30 days' email notice, and the update applies from your next billing date after the notice period. Notices may be sent by email. If any part of these Terms is unenforceable, the rest still applies. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent.
